1About these terms
We, us and the Company mean London Pallet Trucks Ltd, registered in England and Wales, company number 17458263, trading as London Pallet Trucks. You means the business that places an order. Goods means the products described in our order confirmation. Order confirmation means our written confirmation of your order, sent by email, which together with these terms forms the contract. Working day means Monday to Friday excluding English bank holidays. In writing includes email.
These terms apply to every quote, order and sale. They replace any terms you send us, including any printed on a purchase order, and any earlier version of these terms. No variation is binding unless we agree it in writing. If any part of these terms is found invalid, the rest continues to apply.
2Business customers only
We sell to businesses only: limited companies, LLPs, partnerships, sole traders and public bodies buying for the purposes of their trade. By requesting a quote or placing an order you confirm that you are acting in the course of a business and not as a consumer, and that the person placing the order is authorised to bind that business.
Because every customer is a business, the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply. There is no cooling-off period and no right to cancel or return goods for change of mind.
3Quotes, orders and the contract
Prices on the website are indicative starting prices per unit in pounds sterling, ex VAT, converted from the factory list at a buffered exchange rate. They are an invitation to enquire, not an offer. Prices depend on the quantity ordered. Your written quote confirms the unit price for your quantity. Sending us a quote request from the website does not create a contract.
We reply with a written quote stating the goods, specification, quantity, price, freight, duty, VAT, delivery address and estimated lead time. A quote is valid for 30 days unless it says otherwise. To order, you accept the quote in writing. The contract is formed when we send our order confirmation, and only for the goods and quantities in that confirmation.
Check the order confirmation carefully. It is your responsibility to confirm that the model, capacity, dimensions, colour, options and quantity are what you need, and that the goods are suitable for your premises, your loads and your use. Tell us in writing before you pay the deposit if anything is wrong; after that, the confirmation is final.
4Specification, photographs and variations
Goods are manufactured to the specification in the order confirmation. Photographs, videos, drawings and dimensions on the website and in supplier literature are illustrative. They show the type of product, not the exact unit you will receive.
The following are not defects and do not entitle you to reject the goods, cancel, or claim a reduction in price: minor variations in colour shade, finish, dimensions, weight or capacity within normal manufacturing tolerance; design improvements or component substitutions by the factory that do not reduce performance; differences between a rendered image and the physical product; and markings, labels or documentation in the factory's standard format.
If you need a specific tolerance, colour reference, marking, certificate or test, it must be written into the order confirmation before we confirm the order.
5Prices, VAT and payment
All prices are in pounds sterling and exclude VAT. We are VAT registered (VAT no. GB 531 6216 19), so VAT at the rate in force on the invoice date is added. Prices in an order confirmation are fixed, except that we may pass on any increase in import duty, tariff, tax or statutory charge that takes effect after the order is confirmed and applies to your goods.
Payment is by bank transfer to the account named on our invoice. A deposit, stated on your quote, is payable on order confirmation. Production does not start until the deposit has cleared. The balance is payable before the goods are despatched to you, against our invoice, and we may hold the goods until it has cleared. We do not accept card payments on the website and we never ask for card details by email.
If any sum is not paid when due we may charge interest under the Late Payment of Commercial Debts (Interest) Act 1998, suspend or cancel the order, and recover our costs. Goods that are ready and unpaid may incur storage charges after 14 days. You may not withhold or set off any sum against our invoices.
6Made-to-order goods and cancellation
Every order is placed with our factory partners against your confirmed order and manufactured for you. For that reason, once we have sent the order confirmation and your deposit has cleared, the order cannot be cancelled or reduced and the goods cannot be returned or exchanged because you changed your mind, chose the wrong model, no longer need them, or ordered too many.
If you ask to cancel before production has started we may, at our discretion, agree in writing, less any costs we have incurred or committed to. The deposit is otherwise non-refundable, because it covers the factory's costs of materials and production for goods that cannot be sold elsewhere.
We may cancel an order and refund any sums paid for goods not yet manufactured if the factory is unable to make them, if a statutory change prevents their sale in the UK, or if you fail to pay when due. That refund is your only remedy in those cases.
7Pre-shipment inspection and acceptance
Before your goods leave the factory we carry out a quality check and send you a pre-shipment report by email: photographs and video of the finished goods, the quantity, the specification against the order confirmation, and the results of the check.
You have three working days from the day the report is sent to review it. If you approve it in writing, or you do not reply within three working days, the goods are accepted as conforming to the contract in specification, quality, finish and quantity. We ship only after that acceptance.
If you believe the goods shown do not match the order confirmation, tell us in writing within the three working days, with the specific point of difference. We will investigate with the factory and, where we agree there is a non-conformity, have it corrected before shipment. That is your remedy at this stage; it does not entitle you to cancel the order.
After acceptance, no claim may be made about anything that was visible or stated in the pre-shipment report, including design, colour, finish, dimensions, components, markings, quantity or workmanship. Claims after delivery are limited to transit damage and to warranty defects that could not have been seen in the report, as set out below.
8Delivery and risk
Goods are shipped by sea freight to the UK, cleared through customs by our forwarder, and delivered to the UK site address in the order confirmation. Delivery is kerbside or to the vehicle tailgate at a place a commercial vehicle can reach safely. You must provide safe access, a person authorised to receive the goods, and any equipment needed to unload, unless the quote says otherwise. Waiting time, failed deliveries, redelivery and storage caused by your site are charged to you.
Lead times and delivery dates are estimates. Sea freight, port congestion, customs inspection and factory scheduling are outside our control. Time of delivery is not of the essence, late delivery does not entitle you to cancel or to any compensation, and we may deliver in instalments.
Risk in the goods passes to you when they are unloaded at your site or, if you collect, when they are loaded onto your vehicle. Title passes only when we have received payment in full for the goods and every other sum you owe us. Until then you hold the goods as our property, must keep them insured and identifiable as ours, and must not sell or encumber them; we may enter your premises to recover them if payment is overdue.
9Inspection on delivery and transit damage
Examine the goods and the packaging on arrival, before the driver leaves. Note any damage or shortage on the delivery note and take photographs. Report damage or shortage to us in writing at sales@londonpallettrucks.co.uk within two working days of delivery, with the order number, photographs of the packaging and the damage, and the model codes affected.
Where you report in time, we will, at our option, supply replacement parts, repair, replace the affected goods, or credit the price paid for them. Goods signed for as received in good condition, or damage reported outside two working days, are deemed delivered complete and undamaged, and we accept no claim for them. Please keep the packaging until we confirm the outcome, because our carriers and insurers require it.
10Returns
Goods may be returned only with our prior written return authorisation, and only where we have agreed under these terms that they were damaged in transit or have a warranty defect that cannot be put right with parts or repair. We arrange and pay for collection of authorised returns; goods must be unused since the fault was reported, complete, and packed for transport. Returns sent without authorisation are refused or held at your cost.
We do not accept returns for change of mind, wrong choice, surplus quantity, late delivery, or any matter covered by the pre-shipment report. Our full warranty, inspection and returns policy forms part of these terms.
11Warranty
We warrant that for 12 months from delivery, or the period stated on your quote if different, the goods will be free from defects in materials and workmanship in normal business use within their rated capacity, when installed, charged, maintained and operated in line with the manufacturer's manual. Where a defect covered by this warranty is reported in writing within the warranty period, with photographs or video, we will at our option supply replacement parts free of charge, repair, replace the goods, or credit the price paid for them. That is your sole remedy for a defect. Labour, fitting and downtime are not covered unless we agree in writing.
The warranty does not cover wear parts (wheels, castors, rollers, tyres, brake pads, seals, cables, fuses, filters and similar), batteries and chargers beyond the manufacturer's own battery warranty, cosmetic wear, damage from overloading, misuse, accident, neglect, contamination, water or chemicals, use outdoors where the goods are not rated for it, modification, repair by anyone we have not authorised, use of non-genuine parts, or failure to carry out routine maintenance and statutory inspections. Faults you report more than 14 days after you first noticed them are not covered to the extent the delay made them worse.
Except as set out in these terms, and to the fullest extent permitted by law, all other warranties, conditions and terms, whether express or implied by statute or otherwise, including those implied by sections 13, 14 and 15 of the Sale of Goods Act 1979 as to description, satisfactory quality and fitness for purpose, are excluded.
12Safe use, training and compliance
You are responsible for choosing goods that are suitable for your premises, floors, ramps, loads and people; for reading and following the manufacturer's manual; for training and, where required, authorising operators under the Provision and Use of Work Equipment Regulations 1998; for the periodic thorough examination of lifting equipment under the Lifting Operations and Lifting Equipment Regulations 1998; for routine maintenance; and for the safe storage, charging and disposal of batteries. We supply the manufacturer's documentation with the goods and provide certificates and declarations on request where the factory issues them.
Goods are supplied for use in the United Kingdom. If you export them, you are responsible for compliance in the destination country.
13Limitation of liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded by law.
Subject to that: we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, revenue, business, contracts, goodwill or anticipated savings, loss of or damage to stock or data, downtime, hire of replacement equipment, or any indirect or consequential loss, however arising. Our total liability to you in respect of any order, or any series of connected claims, is limited to the price paid by you for the goods to which the claim relates.
You must bring any claim against us within 12 months of delivery of the goods concerned; after that it is barred. Where a claim arises from goods you have modified, used outside their rating, or failed to maintain, or from information you gave us that was wrong, we have no liability for it.
14Events beyond our control
We are not liable for any delay or failure caused by events beyond our reasonable control, including factory closures, shortages of materials or components, strikes, epidemic, fire, flood, storm, war, sanctions, changes in law or import rules, carrier or port failures, customs delays, and failures of utilities or communications. Delivery dates are extended by the period of the event. If an event continues for more than 90 days, either of us may cancel the affected order in writing, and we will refund any sums paid for goods that have not been manufactured.
15General
Entire agreement. The order confirmation and these terms are the entire agreement between us for the goods. You confirm that you have not relied on any statement, promise or representation not set out in them, except where made fraudulently.
Assignment. You may not transfer the contract without our written consent. We may subcontract manufacture, shipping and delivery.
Third parties. No one other than you and us has any rights under the contract, and the Contracts (Rights of Third Parties) Act 1999 does not apply.
Notices. Notices must be in writing and sent by email to sales@londonpallettrucks.co.uk (for us) or to the email address on your order (for you). Notices are deemed received on the next working day.
Waiver and severance. A delay in enforcing a term is not a waiver of it. If a court finds any term unenforceable, that term is modified to the minimum extent needed and the rest remains in force.
Data. We handle personal data as described in our privacy notice.
16Governing law and disputes
The contract and any dispute or claim arising out of it, including non-contractual disputes, are governed by the law of England and Wales.
If a dispute arises, each of us will first set out the issue in writing and senior people from both sides will try in good faith to resolve it within 30 days. If that fails, either of us may propose mediation through a recognised UK mediation provider before starting proceedings. Subject to that, the courts of England and Wales have exclusive jurisdiction, except that we may bring proceedings to recover unpaid sums or to recover our goods in any court with jurisdiction over you.

?Questions
Can I cancel an order after I have paid the deposit?
No. Once we have confirmed the order and the deposit has cleared, the goods are being made for you and the order cannot be cancelled or reduced. If production has not started we may agree a cancellation in writing at our discretion, less the costs we have incurred.
What if the goods in the pre-shipment photos are not what I ordered?
Tell us in writing within three working days of receiving the report, stating exactly what differs from the order confirmation. We investigate with the factory and have any genuine non-conformity corrected before the goods ship. Approval, or no reply within three working days, is acceptance of the goods.
Can I return goods I no longer need?
No. Goods are made to order and there is no return for change of mind, wrong choice, surplus or late delivery. Returns are accepted only for transit damage reported within two working days or a warranty defect that cannot be fixed with parts or repair, and only with our written return authorisation.
Which law applies and where would a dispute be heard?
The law of England and Wales, in the courts of England and Wales. Both sides first try to resolve the issue in good faith within 30 days and may use mediation before any court proceedings.
